1. ACCEPTANCE OF TERMS

Superprint.Ca, Inc. ("Superprint.Ca") is the sole proprietor and operator of Superprint.Ca and its web site, Superprint.Ca. Superprint.Ca provides its service to you, subject to the following Terms and Conditions, which may be modified periodically without notice to you. 2. DESCRIPTION OF SERVICE

Superprint.Ca provides you with professional printing servicess that you can sign up for and order online. Superprint.Ca also offers printing design.

Unless otherwise noted, Superprint.Ca does not process any of the Forms presented on its site.

3. YOUR OBLIGATIONS

All artwork submitted to Superprint.Ca is subject to review. Remember! The customer is responsible for proper artwork submission, review and proofing. The customer is responsible for proper bleeds, compatible artwork sizing and compatible artwork properties. (e.g. 300 DPI, CMYK, BLEEDS, etc). Superprint.Ca is not responsible for any printing defects due to improper customer artwork, lack of substantial bleeds, screen colour matching, or any other (customer artwork related) problems.

In exchange for the Service, you agree to abide by the terms and conditions set forth in this agreement. As a user of the Service you agree that you will:

NOT hold Superprint.Ca responsible for submitted artwork.
NOT place the Forms/Ads/References to Superprint.Ca on any site that is involved in illicit or immoral activities (as determined solely by Superprint.Ca) including but not limited to:
Displaying material containing nudity or pornographic material of any kind;
Providing material that, in Superprint.Ca's view, is grossly offensive to the online community, including blatant expressions of bigotry, prejudice, racism, hatred or excessive profanity;
Displaying material that exploits children under 18 years of age;
Promoting or providing instructional information about illegal activities, promoting physical harm or injury against any group or individual, or promoting any act of cruelty to animals.
Immediately terminate usage of the Forms as required by Superprint.Ca or any Form Processor for any or no reason.
Provide to Superprint.Ca a valid, current e-mail address that you access frequently ("E-mail Address") so Superprint.Ca can advise you of any requirements to terminate usage of any Forms. If you do not provide Superprint.Ca with an E-mail Address then you must visit the Superprint.Ca web site at least once a week to determine if any of the Forms you are using have been terminated.
NOT make any modifications to any Form except for those modifications specifically allowed. Some Forms must be used exactly as-is without any changes. Others allow some cosmetic alterations. The specific usage conditions for each Form are stated on the page where the Form is displayed.

4. SERVICE MODIFICATIONS

Superprint.Ca reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Superprint.Ca shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

5. ADVERTISERS

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Superprint.Ca shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

6. LINKS TO EXTERNAL WEB SITES

The Service provides links to other web sites and resources. Because Superprint.Ca has no control over such sites and resources, you acknowledge and agree that Superprint.Ca is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Superprint.Ca shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

7. SUPERPRINT.CA - PROPRIETARY RIGHTS

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that content contained in ecommerce systems or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Superprint.Ca or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

8. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND THE FORM PROCESSING SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SUPERPRINT.CA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
SUPERPRINT.CA MAKES NO WARRANTY THAT (i) THE SERVICE OR THE FORM PROCESSING SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE OR THE FORM PROCESSING SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR THE FORM PROCESSING SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE OR THE FORM PROCESSING SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Superprint.Ca OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS AND CONDITIONS.

9. LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT SUPERPRINT.CA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF Superprint.Ca HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE OR THE FORM PROCESSING SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE OR FROM THE FORM PROCESSING SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE OR THE FORM PROCESSING SERVICE .

REMEMBER! SUPERPRINT.CA DOES NOT OFFER ANY REFUNDS AND ALL SALES ARE FINAL. UNDER CERTAIN CIRCUMSTANCES (SUPERPRINT.CA AT FAULT), WE MAY OR MAY NOT OFFER A STORE CREDIT AMOUNTING TO A MAXIMUM OF 36% OF THE PURCHASE TOTAL.

10. EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.

11. MISCELLANEOUS

Glossy coating is available on; only the front side of business cards and post cards, both front and backsides of flyers and custom printing jobs. Full colour printing is available on all printed material both frontsides and backsides. These Terms and Conditions and the relationship between you and Superprint.Ca shall be governed by the laws of the State of Massachusetts without regard to its conflict of law provisions. You and Superprint.Ca agree to submit to the personal and exclusive jurisdiction of the courts located within Middlesex County, Massachusetts. The failure of Superprint.Ca to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.
The section titles in the Terms and Conditions are for convenience only and have no legal or contractual effect.
